What would a RN theme do if loaded into a base PHP-Nuke cms. Would the header nukeNAV be screwy by chance ?

That could cause an issue, does the theme look ok within RavenNuke with nukeNAV disabled?

You would need to make a few minor changers to the theme to compensate for nukeNAV - shouldn't be too difficult if you use a file comparison tool.
Depending on what version of php-nuke he is running, if it is pre v 7.8 you'll also need to remove the references to $ads() because I think the Advertiing module only shipped in php-nuke 7.8+
